The Federal Deposit Insurance Corporation (FDIC) Legal Division is researching a coordinated nationwide registered-agent and service-of-process solution. - Government buyer: Federal Deposit Insurance Corporation (FDIC), Legal Division, Legal Services Contracts Group. - Service requested: Registered-agent services and receipt, identification, digitization, routing, tracking, and retention of documents served on the FDIC. Coverage must include all 50 states, the District of Columbia, and applicable U.S. territories, including Guam, Puerto Rico, and the U.S. Virgin Islands. - Technology and operating requirements: Provide a secure, unified web platform with document access, delivery, acknowledgments, tracking, reporting, and audit trails. Meet applicable legal and licensing requirements and protect confidential information through cybersecurity controls; perform conflict checks and provide performance reporting upon request. - Transition: Support an orderly transition from incumbent provider CT Corporation System, ideally preparing and filing change-of-agent documents in each state and paying associated state fees. The FDIC also seeks estimates for filing fees, pass-through expenses, and work related to its federal corporate status. - Pricing and term: The FDIC requests nonbinding, all-inclusive annual fixed-price estimates for a potential three-year period covering 2027–2029, with one-time transition costs itemized separately. The anticipated start is January 2027; exact contract dates are not specified, and an agreement template provides for extension by mutual written agreement. - OEMs and products: No product manufacturers, product part numbers, or product quantities are identified. This is a services requirement; no award or selected contractor is identified. - Potential competing providers: Corporation Service Company (CSC) and Cogency Global provide comparable registered-agent and compliance services.

Description

The Federal Deposit Insurance Corporation (FDIC) Legal Division is issuing this Request for Information (RFI) to conduct market research and identify vendors capable of providing nationwide registered agent and service-of-process receipt and routing services.

The FDIC seeks a single, coordinated solution covering all 50 states, the District of Columbia, and applicable U.S. territories, with a secure, unified web-based platform for digitizing, delivering, tracking, and storing served documents. The RFI requests information about vendors’ jurisdictional coverage, operational capabilities, information security, transition support, willingness to accept FDIC contract terms, and estimated pricing.

Responses will inform the FDIC’s assessment of available providers and potential alternatives to its current service arrangement, with potential service commencement in January 2027. Interested vendors should review the attached RFI for requirements, submission instructions, and deadlines.
