Combined Synopsis-Solicitation for Commercial Products and Commercial Services Effective Date: 01/15/2026 Revision: 03 Description This is a combined synopsis/solicitation for commercial products and commercial services prepared in accordance with the format Revolutionary FAR Overhaul (RFO) in Federal Acquisition Regulation (FAR) subpart 12.202, Streamlined Procedures for Evaluation and Solicitation for Commercial Products and Commercial Services, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotes are being requested, and a written solicitation document will not be issued. This solicitation is issued as an RFQ. Acquisition will include all hardware, software, installation, and training of the EEG/Sleep Acq Desktop with IP PTZ. Security and Data Access Per the VA handbook 6500.6, contractor personnel will perform functions requiring access to a VA system or VA sensitive information. The Natus EEG/Review & Monitoring Desktop is proprietary software by Natus, and if a problem occurs with any data, the identified Vendor will need access to sensitive information (e.g., patient data) to identify and rectify the issue. Delivery Location Jamaica Plain VA Medical Center 150 Huntington Avenue Jamaica Plain, MA 02130-4817 FOB: Destination Program Details The National TeleEEG and Epilepsy Program (NTEEG-EP), through VA Boston Healthcare System, Jamaica Plain VA Medical Center, has a bona fide need to purchase five (5) Natus EEG/Sleep acquisition desktop stations with mobile carts and Natus NeuroWorks version 10x acquisition software. The acquisition stations are required to expand and sustain standardized EEG study acquisition capability for participating VA sites and to support the existing national TeleEEG clinical workflow. The equipment must be compatible with the current Natus/NeuroWorks software, hardware, server, clinical workflow, and reader environment used by NTEEG-EP. Standardization is necessary to maintain interoperability with the existing VA TeleEEG environment, avoid duplicative infrastructure, reduce implementation burden, and support continuity of clinical operations. Scope of Work This procurement is for VA-owned medical equipment and associated device-specific software/configuration support. The contractor shall provide the required Natus equipment, device-specific setup/configuration, operational validation, and staff training. VA Biomedical Engineering/Healthcare Technology Management (Biomed/HTM) and/or VA Office of Information and Technology (OIT) personnel shall perform all VA network connection, VA system access, network configuration, and any activity requiring access to VA information systems or VA network resources. Scope Details The contractor shall furnish a complete, fully functional, new-manufacture solution consisting of five (5) Natus EEG/Sleep acquisition systems and all quoted hardware, software, licenses, peripherals, accessories, manuals, installation support, validation support, training, secure storage, staged delivery, warranty support, project management, packing, freight, and related services necessary for Government acceptance. The firm-fixed price shall include all costs required to perform this SOW, including labor, travel, lodging, tools, packing, handling, insurance, storage for up to twelve (12) months after award, shipment to Government-designated VA facilities, assembly, manufacturer-specific configuration, validation support, training, documentation, and correction or replacement of damaged, deficient, or nonconforming items. No additional charge, recurring fee, travel charge, storage fee, shipment fee, restocking fee, installation fee, training fee, or other cost is authorized unless expressly approved in advance through a written contract action signed by the Contracting Officer (CO). All equipment shall be new, current production, unused, and free from defects. No substitution, deletion, downgrade, refurbished item, materially different configuration, or change in part number, functionality, licensing, or quantity is permitted without prior written approval from the CO after technical review by NTEEG-EP and VA Biomed/HTM. The contractor shall not perform VA network connection or VA network configuration activities. No contractor-owned laptop, workstation, server, removable media, configuration tool, mobile device, or other contractor-owned IT device shall be connected to the VA internal trusted network. The contractor shall not independently access VA information systems, VA servers, VA workstations, VA network resources, patient records, EEG studies, protected health information (PHI), personally identifiable information (PII), or VA sensitive information. Any exception requires prior written CO authorization after all required VA security, privacy, Biomed/HTM, OIT, ISSO, and Privacy Officer reviews and approvals are completed. Specific Tasks Equipment Description: The equipment to be provided shall include the required Natus EEG/Sleep acquisition station components, mobile carts, required peripherals, and Natus NeuroWorks version 10x acquisition software, as outlined in the vendor quote/contract. The contractor shall provide device-specific setup and configuration necessary to prepare the Natus EEG/Sleep acquisition stations for VA operational validation. Contractor configuration shall be limited to Natus medical-device-specific settings, hardware configuration, software configuration guidance, and initial validation activities. The contractor shall not connect equipment to the VA network. VA Biomed/HTM and/or VA OIT shall perform network connection activities, network configuration, and any integration activities requiring VA system access or VA privileged access. Secure Storage and Inventory Control: The contractor shall store the equipment for up to twelve (12) months after award at no additional cost in a secure, clean, dry, climate-controlled, access-controlled, and insured commercial warehouse suitable for medical equipment and electronic systems. The equipment shall remain in manufacturer-approved packaging until released for delivery unless unpacking is required for Government-approved inspection or configuration. Risk of loss, theft, damage, deterioration, or obsolescence remains with the contractor until the applicable system is accepted by the Government at its final destination. Delivery and Site Coordination: The Government may release one or more systems for delivery to VA facilities identified in writing by the CO or COR. Unless the CO approves a different schedule in writing, the contractor shall deliver each released system within fifteen (15) calendar days after receipt of the written release notice. The contractor shall coordinate the delivery appointment with the COR and the receiving facility's designated Neurology and Biomed/HTM points of contact at least five (5) business days before delivery. Delivery shall be FOB Destination and shall include packing, freight, insurance, lift-gate or inside-delivery service when required by the receiving location, and placement of the packaged equipment in the designated receiving or installation area. The contractor shall obtain a signed delivery receipt and shall provide the COR and receiving facility with the carrier information, tracking number, packing list, serial-number list, and anticipated arrival date. Partial delivery, delivery to an address not identified in writing by the Government, or delivery before site authorization is not permitted without COR coordination and CO approval when contract terms are affected. Validation: The contractor shall support initial operational validation of the Natus EEG/Sleep acquisition stations to confirm the equipment is assembled, configured, and functioning as intended for patient-use readiness. Validation support may include confirming device startup, software availability, peripheral functionality, amplifier/device functionality, camera/peripheral functionality, and other device-specific operational checks. Validation shall not require the contractor to access PHI, PII, VA sensitive information, patient records, live patient data, historical EEG studies, or the VA network. If validation requires any activity involving VA network resources or VA information systems, that activity shall be performed by VA Biomed/HTM and/or VA OIT personnel. Training: The contractor shall provide training to designated VA staff on the operation and use of the Natus EEG/Sleep acquisition stations and related device-specific functions. Training shall be limited to equipment operation, device functionality, software use, device-specific workflow, basic troubleshooting, and appropriate use of the Natus equipment. Training shall not require the contractor to access PHI, PII, VA sensitive information, patient records, live patient data, historical EEG studies, or VA information systems. Performance Monitoring The COR in conjunction with HTM point of contact shall monitor contractor performance to ensure that the contractor performs the work described in this Statement of Work. Upon delivery, the COR in conjunction with HTM point of contact or designee shall coordinate receipt, inspection, and acceptance with the appropriate service Subject Matter Expert, Biomed/HTM, and/or other designated VA personnel. Inspection and acceptance shall include confirmation that: The required equipment and components were delivered. Equipment was received without visible shipping damage. Equipment matches the approved quote/contract requirements. Required software, licenses, and peripherals are included, as applicable. Contractor device-specific setup/configuration support was completed. Initial operational validation was completed or coordinated with VA personnel. Required staff training was provided or scheduled. No contractor-owned IT device was connected to the VA internal trusted network. Contractor personnel did not access PHI, PII, VA sensitive information, VA patient records, VA EEG studies, or VA information systems unless an approved exception was completed in advance. Security, Privacy, and Access Requirements General Security Position This procurement is for VA-owned Natus EEG/Sleep acquisition stations, associated software, device-specific configuration, validation, and training. The contractor is not expected to access PHI, PII, VA sensitive information, patient records, EEG studies, VA information systems, VA servers, VA workstations, or VA network resources. No Contractor-Owned Devices on VA Network The contractor shall not connect contractor-owned laptops, workstations, servers, removable media, mobile devices, configuration tools, or any other contractor-owned IT devices to the VA internal trusted network. VA Network Connection VA Biomed/HTM and/or VA OIT personnel shall perform all VA network connection and network configuration activities. The contractor shall not independently perform VA network connection, VA network configuration, IP/network configuration, domain/network integration, or any activity requiring privileged access to VA systems. No Contractor-Hosted System The contractor shall not provide, operate, host, or maintain a contractor-owned IT system for the purpose of processing, storing, transmitting, generating, or exchanging VA information under this procurement. No VA data shall be stored on contractor-owned systems, contractor cloud environments, contractor devices, removable media, or non-VA systems. No PHI/PII/VA Sensitive Information Access The contractor shall not access, view, collect, copy, download, store, transmit, retain, remove, or disclose PHI, PII, VA sensitive information, patient records, EEG studies, clinical data, or VA system data. Remote Support / Screen Sharing If remote support or screen sharing is required for device-specific configuration guidance or troubleshooting, such support shall occur only through VA-approved methods and shall be controlled and supervised by authorized VA personnel. Any Teams screen sharing or similar support shall be initiated and controlled by VA personnel. The contractor shall not receive unsupervised access, privileged access, remote-control access, or independent logical access to VA information systems unless separately approved in advance by the CO, COR, ISSO, and other required VA officials. A&A and Security Accreditation Package Because the contractor is not providing a contractor-owned IT system that processes, stores, or transmits VA information, and because contractor-owned IT devices shall not connect to the VA internal trusted network, the Assessment and Authorization (A&A) requirements do not apply to a contractor-owned system under the planned scope of this procurement, and a Security Accreditation Package is not required for a contractor-owned system. If the scope changes and contractor-owned IT systems, contractor-owned devices, or contractor-controlled environments are proposed to process, store, transmit, generate, or exchange VA information, or to connect to the VA trusted network, the contractor shall not proceed until the CO, COR, ISSO, and other required VA officials review and approve the change and all applicable VA security requirements are satisfied. Conditional Training and Access Requirements Under the planned scope, the contractor is not expected to require access to VA information systems, PHI, PII, VA sensitive information, or the VA internal trusted network. Therefore, VA privacy and information security training requirements associated with such access are not expected to be triggered for the limited device-specific delivery, setup/configuration, validation, and training activities described in this SOW. However, if contractor personnel require logical access to VA information systems, access to VA information, access to PHI/PII, access to VA sensitive information, or access to VA network resources at any point, such access shall not occur until approved in advance by the CO, COR, ISSO, Privacy Officer, and any other required VA approving official. Before such access is granted, contractor personnel shall complete all applicable VA Handbook 6500.6 requirements, including but not limited to VA Cybersecurity Awareness training, Rules of Behavior acknowledgement, applicable privacy training, background investigation/risk designation requirements if required, and any additional role-based training or access approval required by VA. Incident Reporting The contractor shall immediately notify the COR and Contracting Officer of any suspected or confirmed unauthorized access, disclosure, loss, compromise, misuse, or exposure involving VA information, VA equipment, VA systems, PHI, PII, VA sensitive information, or any other non-public Government information. The contractor shall cooperate with VA in any required review, mitigation, reporting, or corrective action. Government-Furnished Equipment / Information No Government-Furnished Equipment (GFE) or Government-Furnished Information (GFI) will be provided to the contractor for contractor custody, contractor independent use, or contractor off-site use. The equipment acquired under this procurement will be VA-owned upon acceptance. The contractor may perform device-specific setup/configuration, validation support, and training on the delivered VA-owned equipment under VA supervision and subject to the access limitations in this SOW. The contractor shall not remove VA-owned equipment, VA information, records, data, images, configuration files containing VA sensitive information, PHI, PII, patient data, or EEG studies from VA control unless specifically authorized in writing by the Contracting Officer and all applicable VA security/privacy approvals are completed. Other Pertinent Information Follow-on Work Any follow-on work, including additional installation, maintenance, software support, interface work, server work, network integration, remote access, or support involving VA systems or VA information, must be separately reviewed and approved by the Government. Follow-on work shall not expand contractor access to VA systems, VA information, PHI, PII, VA sensitive information, or VA network resources unless specifically authorized in writing by the CO, COR, ISSO, and other required VA officials. Conflicts of Interest The contractor shall identify any actual or potential conflicts of interest that may arise during performance of this contract and immediately notify the COR and Contracting Officer. Non-Disclosure The contractor shall not disclose any non-public Government information obtained during performance of this contract. The contractor shall not access, use, retain, or disclose VA information except as specifically authorized by the contract and approved by the Government. Packaging and Shipping The equipment shall be packaged, packed, and shipped in a manner that protects it from damage during transportation and delivery. The contractor shall be responsible for ensuring that all required items are included and arrive in acceptable condition. Inspection and Acceptance Inspection and acceptance shall be completed by the facility HTM point of contact or designee in coordination with the appropriate service Subject Matter Expert, Biomed/HTM, and/or other designated VA personnel. Acceptance shall be based on delivery of the required equipment, absence of shipping damage, confirmation that required components and software are included, completion of device-specific setup/configuration support, completion of initial operational validation support, and completion or scheduling of required training. Risk Control VA Biomed/HTM and/or VA OIT shall perform all VA network connection and VA system access activities. No contractor-owned IT device shall connect to the VA internal trusted network. The contractor shall not independently access VA information systems, VA servers, VA workstations, VA network resources, PHI, PII, VA sensitive information, patient records, or EEG studies. Any remote support shall be VA-approved, VA-controlled, and supervised by authorized VA personnel. Contractor support shall be limited to device-specific setup/configuration, hardware/software configuration guidance, initial operational validation support, and training. Any exception requiring contractor access to VA systems, VA network resources, PHI, PII, or VA sensitive information shall require prior written approval from the CO, COR, ISSO, and other required VA officials before access occurs. Any approved access exception shall trigger all applicable VA Handbook 6500.6 requirements, training, Rules of Behavior, privacy requirements, background investigation requirements, and other applicable VA security/privacy requirements before access is granted. The contractor shall immediately report any suspected or confirmed unauthorized access, disclosure, loss, compromise, or misuse involving VA information, VA equipment, VA systems, PHI, PII, or VA sensitive information. Place of Performance The equipment will remain stored at the contractor's warehouse and shall be shipped directly to facilities. Device-specific setup/configuration, validation support, and training may occur at the VA facility or through VA-approved supervised methods, as coordinated by the COR and local VA personnel at facilities after final destination is determined by NTEEG-EP. Any on-site contractor activities shall be coordinated in advance with the COR, local Neurology service, Biomed/HTM, OIT, ISSO, and other required VA personnel as applicable. Period of Performance This is a procurement for the purchase, delivery, device-specific setup/configuration, validation support, and training for Natus EEG/Sleep acquisition stations after final destination is determined by NTEEG-EP. Equipment is expected to be stored and available for delivery for up to one (1) calendar year after award. When requested, the equipment shall be delivered within fifteen (15) days of the NTEEG-EP's delivery request to the vendor. Installation/configuration support, validation support, and training shall be scheduled in coordination with the COR and local VA personnel after delivery and after completion of any required local pre-installation review and final destination is determined. Delivery Schedule The equipment shall be delivered within fifteen (15) days of the NTEEG-EP's delivery request to the vendor, to the identified facility, unless otherwise stated in the final contract or delivery order. The contractor shall coordinate delivery, device-specific setup/configuration support, validation support, and training with the identified facility HTM point of contact. Local VA sites shall complete any required local Biomed/HTM, OIT, ISSO, or other pre-installation reviews prior to contractor on-site activities or supervised remote support. Applicable Directives and Security Requirements The contractor, its personnel, and subcontractors shall comply with applicable Federal laws, regulations, standards, VA directives, VA handbooks, and contract requirements regarding information security, privacy, records management, and protection of Government information. The contractor shall request logical, technical, or physical access to VA information, VA information systems, or VA network resources only to the extent necessary to perform the services specified in the contract and only after prior written Government approval. Under the planned scope of this procurement, such access is not anticipated. If contractor personnel require access to VA information systems, VA information, PHI, PII, VA sensitive information, or VA network resources, such access shall not occur until the contractor has received all required approvals and completed all applicable requirements, including but not limited to: Approval from the Contracting Officer, COR, ISSO, Privacy Officer, and other required VA officials, as applicable. Completion of applicable VA Cybersecurity Awareness training. Completion and acknowledgement of applicable Contractor Rules of Behavior. Completion of applicable VA privacy training. Completion of any required background investigation, risk designation, credentialing, or access approval process. Completion of any additional role-based cybersecurity, privacy, or information security training required by VA. The contractor shall notify the Contracting Officer immediately when any employee working on a VA system or with access to VA information is reassigned, no longer requires access, leaves the contractor's employment, or is subject to unfriendly termination. This requirement applies only if contractor access to VA systems or VA information is approved. Information made available to the contractor by VA for performance or administration of this contract shall be used only for the authorized contract purpose and shall not be used in any other way without prior written approval from VA. The contractor shall not destroy, remove, copy, retain, transmit, or disclose VA information, VA records, PHI, PII, VA sensitive information, or non-public Government information except as specifically authorized in writing by the Contracting Officer and in accordance with applicable VA requirements. Records Management The contractor shall comply with all applicable records management laws, regulations, and policies to the extent contractor performance creates, receives, maintains, or handles Federal records under this contract. The contractor shall not create or maintain records containing non-public VA information, PHI, PII, or VA sensitive information unless specifically authorized by the contract and approved by the Government. The contractor shall not remove Federal records, VA information, PHI, PII, VA sensitive information, or non-public Government information from VA custody or control without written authorization from the Contracting Officer and completion of all applicable security, privacy, and records management requirements. The contractor shall immediately notify the COR and Contracting Officer upon discovery of any inadvertent or unauthorized disclosure, removal, alteration, loss, destruction, compromise, or misuse of VA information, records, data, equipment, documentary materials, PHI, PII, or VA sensitive information. The contractor shall not retain, use, sell, or disseminate copies of any deliverable, record, or information containing VA sensitive information, PHI, PII, Privacy Act-protected information, or information otherwise protected from public disclosure. All deliverables, records, and data produced for Government use under this contract are the property of the U.S. Government, unless otherwise stated in the contract. Any contractor rights in data or deliverables must be identified in accordance with applicable contract clauses. Subcontractors The contractor shall obtain Contracting Officer approval before using any subcontractor in support of this contract if the subcontractor would require access to VA equipment, VA facilities, VA information, VA information systems, VA network resources, PHI, PII, VA sensitive information, or non-public Government information. The contractor shall ensure that any approved subcontractor complies with all applicable requirements in this SOW and the contract. Summary of Access Boundaries For clarity, the following access boundaries apply to this procurement: Natus provides equipment, device-specific setup/configuration, validation support, and training. VA Biomed/HTM and/or VA OIT performs all VA network connection, VA network configuration, and VA system access activities. No contractor-owned IT device shall connect to the VA internal trusted network. The contractor shall not independently access VA systems, VA servers, VA workstations, VA network resources, PHI, PII, VA sensitive information, patient records, or EEG studies. Any remote support shall be VA-approved, VA-controlled, and supervised by authorized VA personnel. No contractor-hosted IT system shall process, store, transmit, generate, or exchange VA information under this procurement. Any exception to these limitations requires prior written approval from the CO, COR, ISSO, and other required VA officials and shall trigger all applicable VA Handbook 6500.6 security, privacy, training, Rules of Behavior, background investigation, and access-control requirements before access is granted. Providing authorized VA personnel to supervise any VA-approved remote support or screen sharing. Ensuring contractor access does not exceed the approved scope. Contractor Responsibilities Providing the required Natus EEG/Sleep acquisition stations, mobile carts, software, peripherals, and accessories identified in the quote/contract. Packaging and shipping equipment to protect it from damage. Providing device-specific assembly, setup/configuration, validation support, and training. Coordinating with the COR or designee regarding delivery, setup/configuration, validation support, and training schedule. Complying with all security, privacy, access, records management, and incident reporting requirements in this SOW and the contract. Ensuring contractor personnel do not connect contractor-owned IT devices to the VA network. Ensuring contractor personnel do not access PHI, PII, VA sensitive information, patient records, EEG studies, VA systems, or VA network resources unless an approved exception is completed in advance. Immediately reporting any suspected or confirmed unauthorized access, disclosure, loss, compromise, or misuse involving VA information, VA systems, VA equipment, PHI, PII, or VA sensitive information. Acceptance Final acceptance shall occur when the Government confirms that the required equipment has been delivered, inspected, and accepted; required device-specific setup/configuration support has been completed; initial validation support has been completed or coordinated; and required training has been completed or scheduled. Acceptance shall not be construed as approval for contractor access to VA information systems, VA network resources, PHI, PII, VA sensitive information, patient records, or EEG studies. Any such access requires separate prior approval and completion of all applicable VA requirements. Award will be based upon a comparative evaluation of quotes in accordance with the Simplified Acquisition Procedures of RFO FAR 12.
