This notice concerns the exemption of a proposed transaction where OmniTRAX Holdings Combined, Inc. and HGS Railway Holdings, Inc. will acquire control of three Class III railroads: Arkansas Short Line Railroads, Inc. (d/b/a Dardanelle and Russellville Railroad), Camden & Southern Railroad, Inc., and Ouachita Railroad, Inc. The transaction will not connect any of the Omni-HGS carriers with each other or with the Target Carriers, is not part of a series of transactions connecting these carriers, and involves no Class I carrier. Therefore, the transaction is exempt from prior approval requirements under 49 U.S.C. 11323.
