Description

The Securities and Exchange Commission has published a staff report examining the definitions of "security-based swap dealer" and "major security-based swap participant." The report discusses exceptions from designation as a security-based swap dealer for entities engaging in de minimis quantities of security-based swap dealing, and thresholds below which an entity would not become a major security-based swap participant. The Commission may, after considering public comments, either terminate the phase-in period for de minimis thresholds or propose different thresholds through rulemaking.
