Facility Use Agreement for Palm Coast Baseball, LLC

The City of Palm Coast, Florida, is the government buyer entering into a Facility Use Agreement with Palm Coast Baseball, LLC, a Florida Limited Liability Company. The agreement grants Palm Coast Baseball, LLC non-exclusive rights to use Baseball Field #2 and the batting cages at the Indian Trails Sports Complex for collegiate baseball games and related activities. The City owns and operates the Indian Trails Sports Complex, which includes eight fields, batting cages, and concession stands. The League (Palm Coast Baseball, LLC) is responsible for maintaining the field, dugouts, bleachers, spectator areas, and parking lots in good condition and ensuring cleanliness after each use. The League retains 100% of net profits from merchandise sales, sponsorships, and ticket sales for events held at Baseball Field #2. The agreement prohibits the sale or consumption of alcoholic beverages on the premises. The League must maintain comprehensive liability insurance with coverage of $1,000,000 for bodily injury and property damage, naming the City as an insured party. The term of the agreement is three years with one possible three-year renewal. The League's use is subject to the City's Parks and Recreation Department Master Schedule and may be preempted for City-sponsored events or emergencies with notice. The League must comply with all applicable laws, ordinances, and regulations, including nondiscrimination and public records laws. The agreement includes indemnification provisions protecting the City from liability related to the League's use of the facilities.
