Technology Value-Added Resellers (VARs)

The Rector and Visitors of the University of Virginia awarded a contract to Innate Networks, LLC to provide VAR-IT services for the University and the Virginia Higher Education Procurement Consortium (VHEPC) and its members. The contract term extends until December 30, 2028, with an option to renew for up to two additional years. The awarded services include a broad range of IT-related services and products from various manufacturers such as Dell, Hewlett-Packard, Fujitsu, Cisco, Aruba, Palo Alto, Polycom, Apple, Lenovo, Microsoft, VMWare, Symantec, Adobe, and Citrix. The contract includes specific provisions for ordering procedures, invoicing, nondiscrimination, conflict of interest, independent contractor status, workers' compensation, drug-free workplace, IT accessibility compliance, unauthorized alien use, assignment, amendments, notices, registration requirements, eVA registration and transaction fees, indemnification, termination, non-appropriation, audit rights, claims procedures, cooperative procurement allowing third-party access, and compliance with Virginia laws and University policies. The contract requires the Selected Firm to maintain insurance coverage including commercial general liability, automobile insurance, and errors and omissions insurance, each with minimum limits of $1,000,000. The University requires the Selected Firm to provide and maintain an electronic catalog in the University’s Electronic Marketplace if requested, with specific requirements for catalog maintenance, pricing, invoicing, and reporting. The contract also includes a Data Protection Addendum outlining the handling, security, and confidentiality of University Data, including Protected Health Information, with requirements for data privacy, security breach response, audits, compliance with applicable laws such as FERPA and HIPAA, and data transfer or destruction upon contract termination. The contract supports cooperative procurement allowing other public bodies and educational institutions to access the agreement under specified terms.
